Welcome to CatchIntent. These Terms of Service (“Terms”) govern your access to and use of CatchIntent’s buyer intent detection platform, including our website, applications, APIs, and related services (collectively, the “Service”). Please read these Terms carefully before using our Service.
By accessing or using CatchIntent, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
1. Definitions
- “We,” “Us,” “Our”: CatchIntent and its affiliates
- “You,” “Your,” “User”: The individual or organization using the Service
- “Workspace”: Your organization’s account on CatchIntent, including all associated users, data, and configurations
- “Listener”: A monitoring configuration you create to track specific keywords and platforms
- “Signal”: A piece of content identified by our AI as showing buying intent relevant to your Listeners
- “Content”: Any data, text, information, or materials you submit to or access through the Service
2. Account Registration and Eligibility
2.1 Eligibility
To use CatchIntent, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding agreement
- Be acting on behalf of a legitimate business or organization
- Not be prohibited from using the Service under applicable laws
2.2 Account Creation
When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Keep your account credentials confidential and secure
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access or security breach
2.3 Workspace Administration
If you create a Workspace, you are the Workspace administrator and are responsible for:
- Managing team member access and permissions
- Ensuring all team members comply with these Terms
- Maintaining appropriate security controls
- All activities that occur within your Workspace
3. Service Description
3.1 What CatchIntent Does
CatchIntent is a B2B SaaS platform that:
- Monitors public social platforms (Reddit, Hacker News, Bluesky, and others) for content matching your configured keywords
- Uses artificial intelligence to analyze content and identify buying intent signals
- Delivers alerts and notifications when high-intent signals are detected
- Provides a dashboard to view, manage, and act on detected signals
3.2 Service Limitations
You acknowledge that:
- Our AI analysis provides probabilistic assessments, not guarantees of buying intent
- We monitor only publicly available content; private or restricted content is not accessible
- Signal quality depends on your keyword configuration and the nature of public discussions
- Platform availability and API access may vary and affect service coverage
- Response times and alert delivery depend on various factors including platform APIs and network conditions
3.3 Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. We may temporarily suspend the Service for:
- Scheduled maintenance (with advance notice when possible)
- Emergency maintenance or security updates
- Circumstances beyond our reasonable control
- Compliance with legal requirements
4. Acceptable Use
4.1 Permitted Uses
You may use CatchIntent to:
- Monitor public conversations for legitimate business purposes
- Identify potential customers and business opportunities
- Conduct market research and competitive analysis
- Engage authentically with prospects who express buying intent
4.2 Prohibited Uses
You agree NOT to use CatchIntent to:
- Spam or Harass: Send unsolicited bulk messages, harass individuals, or engage in aggressive outreach
- Deceive: Misrepresent yourself, your products, or your affiliation when engaging with prospects
- Violate Platform Rules: Use signals in ways that violate Reddit, Hacker News, or other platform terms of service
- Stalk or Target: Build profiles on individuals for purposes of stalking, harassment, or discrimination
- Illegal Activities: Facilitate any illegal activity or violate any applicable laws
- Circumvent Restrictions: Bypass rate limits, access controls, or security measures
- Resell or Redistribute: Resell, sublicense, or redistribute the Service or signal data without authorization
- Reverse Engineer: Attempt to reverse engineer, decompile, or extract source code from the Service
- Overload Systems: Intentionally overload or disrupt our infrastructure or services
- Scrape or Crawl: Use the Service to build competing products or data aggregation services
4.3 Content Guidelines
When using signals to engage with prospects, you must:
- Comply with all applicable laws and platform policies
- Be transparent about your commercial intent when appropriate
- Respect user preferences and opt-out requests
- Not misuse personal information obtained through the Service
4.4 Enforcement
We reserve the right to:
- Monitor usage for compliance with these Terms
- Investigate suspected violations
- Suspend or terminate accounts that violate these Terms
- Report illegal activities to appropriate authorities
5. Subscription and Payment
5.1 Subscription Plans
CatchIntent offers various subscription plans with different features, limits, and pricing. Plan details are available on our website and may change over time.
5.2 Free Trial
We may offer a free trial period for new users. During the trial:
- You have access to the Service as specified in the trial terms
- No payment information may be required to start
- The trial automatically ends at the specified period
- You may upgrade to a paid plan at any time
5.3 Payment Terms
For paid subscriptions:
- Fees are charged in advance on a monthly or annual basis
- All fees are non-refundable except as expressly stated
- We may change pricing with 30 days’ notice
- You authorize us to charge your payment method automatically
- Failed payments may result in service suspension
5.4 Taxes
Fees do not include taxes. You are responsible for paying all applicable taxes, and we may collect taxes where legally required.
5.5 Upgrades and Downgrades
- Upgrades take effect immediately with prorated charges
- Downgrades take effect at the next billing cycle
- Unused capacity does not roll over between periods
6. Intellectual Property
6.1 Our Intellectual Property
CatchIntent and its licensors retain all rights to:
- The Service, including all software, algorithms, and AI models
- Our trademarks, logos, and brand elements
- Documentation, content, and materials we create
- Aggregated and anonymized data derived from Service usage
6.2 Your Content
You retain ownership of:
- Your Listener configurations and settings
- Custom integrations and configurations you create
- Feedback and suggestions you provide (though we may use these freely)
6.3 License Grants
To You: We grant you a limited, non-exclusive, non-transferable license to access and use the Service during your subscription term, subject to these Terms.
To Us: You grant us a license to use your configurations and settings to provide the Service. You also grant us a license to use anonymized, aggregated data for service improvement and analytics.
6.4 Third-Party Content
Signals contain content from third-party platforms (Reddit, Hacker News, etc.). This content:
- Remains the property of its original authors
- Is subject to the terms of the originating platform
- Is provided for informational purposes only
- Should be accessed and used in compliance with platform policies
7. Data and Privacy
7.1 Privacy Policy
Our collection and use of data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
7.2 Data Processing
For business customers in the EEA, we will enter into a Data Processing Agreement upon request.
7.3 Your Responsibilities
You are responsible for:
- Ensuring your use of signals complies with applicable privacy laws
- Obtaining necessary consents when engaging with individuals
- Handling any personal data you obtain in compliance with law
- Configuring appropriate data retention settings
8. Confidentiality
8.1 Confidential Information
Each party may have access to confidential information of the other party. Confidential information includes:
- Business plans, strategies, and customer information
- Technical information, APIs, and integrations
- Pricing, usage data, and financial information
- Any information marked as confidential
8.2 Obligations
Each party agrees to:
- Protect confidential information using reasonable care
- Use confidential information only for purposes of this agreement
- Not disclose confidential information to third parties
- Return or destroy confidential information upon request
8.3 Exceptions
Confidentiality obligations do not apply to information that:
- Is or becomes publicly available through no fault of the receiving party
- Was known to the receiving party before disclosure
- Is independently developed by the receiving party
- Is disclosed with the disclosing party’s written consent
- Must be disclosed by law (with notice to the other party where permitted)
9. Warranties and Disclaimers
9.1 Our Warranties
We warrant that:
- We have the right to provide the Service
- The Service will perform substantially as described
- We will use commercially reasonable efforts to maintain availability
- We will handle your data in accordance with our Privacy Policy
9.2 Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:
- Warranties of merchantability and fitness for a particular purpose
- Warranties of non-infringement
- Warranties regarding accuracy or reliability of AI analysis
- Warranties that the Service will be uninterrupted or error-free
- Warranties regarding results you may achieve using the Service
9.3 AI Limitations
You acknowledge that:
- AI intent analysis is probabilistic and may produce false positives or negatives
- We do not guarantee the accuracy of intent scores or signal relevance
- You should exercise judgment when acting on signals
- AI models may change and improve over time, affecting results
10. Limitation of Liability
10.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Cost of substitute services
- Damages arising from your use of or inability to use the Service
10.2 Liability Cap
OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF:
- The amounts you paid to us in the twelve (12) months preceding the claim, or
- One hundred US dollars ($100)
10.3 Exceptions
These limitations do not apply to:
- Your payment obligations
- Either party’s indemnification obligations
- Breaches of confidentiality obligations
- Violations of intellectual property rights
- Gross negligence or willful misconduct
11. Indemnification
11.1 Your Indemnification
You agree to indemnify and hold harmless CatchIntent from any claims, damages, losses, and expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable laws or third-party rights
- Content you submit or actions you take based on signals
- Your engagement with prospects or use of signal data
11.2 Our Indemnification
We agree to indemnify you from claims that the Service infringes third-party intellectual property rights, except where the claim arises from:
- Your modifications to the Service
- Your combination of the Service with other products
- Your use of the Service in violation of these Terms
- Content from third-party platforms
11.3 Procedure
The indemnified party must:
- Promptly notify the indemnifying party of any claim
- Allow the indemnifying party to control the defense
- Cooperate in the defense at the indemnifying party’s expense
- Not settle any claim without the indemnifying party’s consent
12. Term and Termination
12.1 Term
These Terms begin when you create an account and continue until terminated.
12.2 Termination by You
You may terminate your account at any time through your account settings or by contacting support. Upon termination:
- Your access to the Service will end
- No refunds will be provided for unused subscription periods
- Your data will be deleted in accordance with our Privacy Policy
12.3 Termination by Us
We may suspend or terminate your account:
- For material breach of these Terms (with notice and opportunity to cure where appropriate)
- Immediately for violations of acceptable use policies
- If required by law or to prevent harm to us or other users
- If you fail to pay fees when due
- Upon 30 days’ notice for any reason
12.4 Effect of Termination
Upon termination:
- All licenses granted to you terminate
- You must cease all use of the Service
- We will delete your data per our retention policies
- Sections that by their nature should survive will survive (including Sections 6, 8, 9, 10, 11, and 14)
13. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by:
- Posting updated Terms on our website
- Sending an email to your registered address
- Displaying a notice in the application
Continued use after changes take effect constitutes acceptance. If you do not agree to modified Terms, you must stop using the Service.
14. General Provisions
14.1 Governing Law
These Terms are governed by the laws of Finland, without regard to conflict of law principles.
14.2 Dispute Resolution
Any disputes shall be resolved through:
- Informal Resolution: Good faith negotiation for at least 30 days
- Mediation: Non-binding mediation if negotiation fails
- Arbitration or Litigation: Binding arbitration or court proceedings in Finland
14.3 Assignment
You may not assign these Terms without our written consent. We may assign our rights and obligations freely.
14.4 Entire Agreement
These Terms, together with our Privacy Policy and any order forms, constitute the entire agreement between you and CatchIntent.
14.5 Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
14.6 Waiver
Failure to enforce any provision does not waive our right to enforce it later.
14.7 Notices
Notices to us should be sent to team@catchintent.com. Notices to you will be sent to your registered email address.
14.8 Force Majeure
Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, war, terrorism, strikes, or government actions.
